California based firm’s New York office is seeking an Associate with 3-5 years of law firm experience. The candidate must have corporate law firm experience with public offerings, company and underwriter side, mergers & acquisitions, joint ventures, private equity and venture capital investments and general corporate matters. Additionally, experience with ’33Act and ’34 Act reporting requirements and drafting and revising 10-Ks, 10-Qs,8-Ks, 20-Fs, proxy statements and similar SEC reports preferred. International firm’s New York office is looking for a Managing Associate to join the Energy & Infrastructure group. Experience should include project development and financing with particular emphasis on tax-equity transactions in the renewable energy space and PPP infrastructure. The ideal candidate should have experience with federal electric utility regulation, including under the Federal Power Act, Public Utility Holding Company Act and the Public Utility Regulatory Policies Act. In addition the candidate should have experience with filing requirements at FERC, with federal gas utility regulation under the Natural Gas Act and with power contracts, interconnection agreements and utility transmission and gas transportation agreements.

International law firm’s New York office is looking for a mid-level associate with deal experience in the P3 (Public Private Partnerships) market preferable; broader project finance experience would be acceptable, corporate M&A experience welcomed. New York based firm is seeking a class of '10 - '12 energy mid level associate with experience in the development, acquisition and financing of energy assets, including M&A activities, project finance, hedging and intermediation arrangements and commercial transactions and related agreements (EPC, PPA and similar arrangements). They are registered with the SEC as a Registered Investment Advisor and a CPO/CTA with the CFTC and are a member of the NFA. Will oversee all regulatory compliance and management matters throughout the firm. Responsibilities will include implementing ongoing Dodd-Frank compliance initiatives including CFTC and SEC compliance; conducting internal testing, auditing and internal investigations; supervising regulatory audits, inquiries and related remediation; advising on AML, KYC and related FCPA matters; assisting accounting team on FATCA compliance; maintaining and updating Compliance Manuals and monitor employee compliance with policies and procedures; organizing compliance training programs; Prepare and file Form ADV, Form PF, Form D, Form CPO-PQR AIFMD reporting and related regulatory filings; reviewing marketing materials and investor due diligence requests.
